Agreement to these terms
This document constitutes a legally binding agreement between you and Winspire Educational Solutions Private Limited ("EDTEX"), governing your use of the website www.edtex.in and all associated services, tools, and software applications. By accessing or using the platform in any manner, you confirm that you have read, understood, and agree to be bound by these Terms of Use, together with our Privacy Policy.
This agreement applies to all users who access the platform for any purpose, including any legal entity represented by a user under actual or apparent authority. It covers all services offered on the platform, along with any additional terms applicable to specific services. In the event of a conflict between these general terms and any service-specific terms, the service-specific terms shall prevail for that service.
These terms, along with our Privacy Policy, form a complete Agreement between you and EDTEX. In the event of any conflict between these terms and any other document executed between the parties, these terms shall prevail. EDTEX reserves the right to update these terms at any time without prior notice. Continued use of the platform following any update constitutes your acceptance of the revised terms.
As long as you comply with these Terms of Use, EDTEX grants you a personal, non-exclusive, non-transferable, and limited privilege to access and use the platform.

Eligibility
Who may use our services
Our services are available only to individuals who are legally capable of entering into binding contracts under applicable Indian law. Users must be at least 18 years of age. EDTEX reserves the right to refuse service to any user at its sole discretion, at any time.
Users are responsible for complying with all applicable laws while accessing this platform. EDTEX is not liable for any consequences arising from user behaviour during platform use.
Term & termination
Duration and termination of access
This Agreement remains in full force for as long as you access and use the platform. Either party may terminate the agreement at any time, with or without cause.
EDTEX reserves the right to terminate your access immediately and without notice if:
- You breach any terms or conditions of this Agreement.
- A third party reports a violation of their rights arising from your use of the platform.
- EDTEX is unable to verify or authenticate any information you have provided.
- EDTEX has reasonable grounds to suspect illegal, fraudulent, or abusive activity on your part.
- EDTEX believes your actions may cause legal liability for you, other users, or EDTEX, or are contrary to the interests of the platform community.

EDTEX is engaged in rendering comprehensive and quality software services. Through this platform, we offer:
- Demo requests for all EDTEX products and software
- Detailed product and software descriptions
- Any additional services introduced on the platform from time to time
Transactions on this platform are secure and protected. Any information you submit is encrypted to prevent unintentional disclosure to third parties.
User obligations
Your responsibilities as a user
Accurate information
All information provided to EDTEX must be complete, accurate, and current. Nothing shall be misstated, withheld, or false.
Permitted use
You agree not to reproduce, modify, distribute, or create derivative works from any platform content without prior written permission. Limited use may be permitted with explicit consent from EDTEX.
Access restrictions
- Do not access the platform through automated means including bots, spiders, scraping tools, or similar technologies.
- Do not attempt to circumvent the navigational structure or presentation of the platform.
- Do not impersonate any individual, entity, or misrepresent your affiliation.
- Do not probe, scan, or test the vulnerability of the platform or any connected networks.
- Do not reverse look-up or trace information of any other user without authorisation.
Prohibited conduct
- Abuse, harass, threaten, defame, or otherwise violate the legal rights of others.
- Disrupt or interfere with access to the platform or its connected servers and networks.
- Use the platform for any unlawful, harmful, or infringing purpose.
- Violate any applicable laws or regulations in force within or outside India.
- Post or upload any offensive, unlawful, or infringing content on the platform.
- Engage in advertising or solicitation of other users without prior written consent from EDTEX.
- Threaten the unity, integrity, defence, or sovereignty of India or incite any cognisable offence.
- Create liability for EDTEX or cause loss of services from internet service providers.
EDTEX may disclose user information to law enforcement or government authorities as required by law or as deemed necessary in connection with the investigation of illegal activity.
EDTEX reserves the right to remove or edit any content that violates these terms or is otherwise deemed harmful, without obligation to return such content.
Intellectual property
Ownership of content & brand assets
All trademarks, logos, brand names, service marks, domain names, designs, and graphics on this platform are the exclusive property of EDTEX. Nothing in these terms grants you any right to use EDTEX's intellectual property without prior written consent. Any use likely to cause confusion among users or disparage the EDTEX brand is strictly prohibited.
You agree to immediately notify EDTEX upon becoming aware of any claim that platform content infringes any third-party intellectual property rights. You further acknowledge that the platform may contain information designated as confidential by EDTEX, and you shall not disclose such information without prior written consent.
Content & submissions
User-submitted content
Any comments, ideas, suggestions, or other content you contribute to EDTEX or this platform shall be deemed to grant EDTEX a royalty-free, perpetual, irrevocable, non-exclusive right and licence to adopt, publish, reproduce, disseminate, distribute, display, or create derivative works from such content — worldwide, across any medium now known or later developed, for the full term of any rights that may exist in such content. You waive any claim to the contrary.

Indemnity
Your indemnification obligations
You agree to defend, indemnify, and hold harmless EDTEX, its directors, officers, employees, agents, and successors from any and all claims, liabilities, damages, losses, costs, and expenses — including legal fees — arising out of your use of the platform, breach of any warranties or obligations under this Agreement, infringement of any applicable laws or intellectual property rights, or any claims of libel, defamation, or violation of rights of privacy or publicity. This clause survives the expiry or termination of this Agreement.
Limitation of liability
Limits on EDTEX's responsibility
In no event shall EDTEX be liable for any special, incidental, indirect, or consequential damages of any kind arising in connection with these terms, even if informed of the possibility of such damages.
EDTEX's total liability — for itself and any of its associates, whether arising from direct, indirect, or consequential acts or omissions — shall be restricted to a maximum of INR 1,000 and nothing further.
Dispute resolution
How disputes are resolved
Any disputes arising under this Agreement will be resolved through a two-step process:
- Mutual discussion: The parties will first attempt to resolve the dispute through direct discussion. If unresolved within 30 days, the matter proceeds to arbitration.
- Arbitration: Binding arbitration before a sole arbitrator appointed by EDTEX, conducted in English at Hyderabad, Telangana, India. The arbitral award is final and binding on both parties.
In the event dispute resolution fails, the matter shall be governed by the laws of Hyderabad, Telangana, India. The courts of Hyderabad hold exclusive jurisdiction over any such matters.
Miscellaneous
General provisions
Entire agreement
This Agreement is the complete and exclusive statement of the agreement between you and EDTEX with respect to the subject matter hereof, superseding all prior communications, representations, or agreements.
Waiver
The failure of either party to enforce any provision of this Agreement at any time shall not affect that party's right to enforce the same provision at a later date. No waiver of any breach shall be construed as a continuing waiver.
Severability
If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The Agreement shall be reformed to the minimum extent necessary to correct any invalidity.
Independent relationship
EDTEX and the user are, and shall remain, independent contractors. Neither party is authorised to make representations or commitments on behalf of the other unless expressly authorised in writing.
